The fact that the technology is AI doesn’t change the criteria — it just adds a few risk dimensions that boards in regulated industries take seriously.
Three things boards consistently want, and that AI strategies often fail to provide:
A coherent theory of value. Not a list of use cases. A theory of where AI creates durable advantage for this specific organization, and why. Use cases are evidence the theory is real; they’re not the strategy. Strategies built on use case lists tend to feel like inventories rather than bets, and boards have a harder time committing capital to inventories.
Honest economics. A multi-year cost and benefit picture with documented assumptions, sensitivity analysis, and a credible baseline. Boards are accustomed to seeing this for capital projects in manufacturing, R&D, and IT. AI shouldn’t be different.
A serious treatment of risk. Regulatory risk, vendor risk, talent risk, model risk, reputational risk. A strategy that doesn’t surface these gets harder questions, not easier ones. Boards are often more sophisticated about AI risk than the AI strategy team gives them credit for, particularly directors with technology backgrounds.
A fourth thing boards want, often unspoken: evidence of organizational seriousness. An AI strategy that bears the fingerprints of the CEO, CFO, COO, R&D head, and Quality leader signals that the organization is committed in a way that a strategy authored by a single function does not. Strategies that arrive at the board as a chief technology officer’s document, without deep cross-functional contribution, tend to face harder approval paths.
The Structure of a Winning AI Strategy Document
The structure that holds up consistently in board reviews is closer to a capital approval document than to a technology vision deck. A workable outline:
- Executive summary (1 page). The decision being asked of the board, the headline economics, the principal risks, and the timeline.
- The strategic thesis (2-3 pages). Where AI creates durable competitive advantage for this organization, why, and what posture the company is taking.
- The portfolio (3-5 pages). The set of investments — by horizon, function, and risk tier — with a clear rationale for the construction.
- Capability foundation (2-3 pages). The infrastructure, governance, talent, and operating model investments that make the portfolio executable.
- Financial picture (3-5 pages). Multi-year investment, expected returns, sensitivity analysis, and triggers for course correction.
- Risk register (2-3 pages). Top risks with mitigation strategy, residual risk assessment, and decision triggers.
- Governance and accountability (1-2 pages). Who owns what, what gets reported when, and how the board stays informed.
- Decision request (1 page). Specific approvals being asked for, including budget authorization and reporting cadence.
Total document length: 15-25 pages, with appendices for use case detail and supporting analysis. Anything substantially longer is usually a sign of poor synthesis, not depth.
The 1-page executive summary deserves disproportionate attention
Many directors will read the full document; some will read only the executive summary and ask questions in the room. The executive summary has to stand alone. - Optimistic benefit aggregation. Adding up productivity savings without a credible mechanism for capturing them.
- Missing total cost of ownership. Implementation cost shown; validation, change management, integration, and ongoing operations missing or underestimated.
- Single-scenario projections. A point estimate of ROI without sensitivity analysis or downside cases.
- Time horizons that flatter the case. Five-year horizons for use cases where the technology will have shifted significantly by year three.
- Inflated baselines. Comparing to a current state that includes problems that aren’t actually being solved by the AI.
The corrective is financial discipline that mirrors what the board sees in other capital requests. Show TCO including all the soft costs. Show benefits with explicit assumptions. Show three scenarios — base, downside, upside — with the drivers that move between them. Show a credible baseline that the relevant function leaders endorse. Show triggers for re-evaluation if reality diverges materially from projections.
What the financial section should explicitly address
Boards in life sciences are increasingly asking AI strategies to address: what we will not invest in (and why), what the option value of this investment is if technology shifts, what the cost of inaction is if competitors pull ahead, and how much of the value depends on a single vendor relationship. Strategies that anticipate these questions and address them proactively pre-empt the harder version of the conversation.
Capital vs. operating spend treatment
An overlooked dimension: how the AI investment is treated in the financials. AI typically combines capital-like commitments (infrastructure, integration, validation) with operational-like commitments (vendor licensing, ongoing operations, model updates). Boards are familiar with both treatments separately but sometimes struggle with the hybrid. The financial picture should be explicit about which spend is one-time versus recurring, which is committed versus discretionary, and how the cost trajectory evolves over the planning horizon. Boards that understand the cost structure approve more reliably than boards that have to interpret it during the meeting.
The benefits side of the case deserves equal scrutiny
Boards spend disproportionate time on cost rigor and underweight benefits scrutiny. The benefits side actually deserves the more careful treatment because it’s where most AI cases are weakest. - Working AI governance team. Operational ownership of SOPs, tier classifications, validation standards, and program coordination.
- Use case teams. Function-led teams that execute individual use cases within the governance framework.
- Board reporting cadence. Quarterly written update plus an annual deep-dive review. Specific KPIs reported each quarter, including portfolio value capture, adoption, risk register status, and material decisions made or pending.
The board reporting cadence is the element most often underspecified. Boards want a predictable update rhythm with consistent KPIs that let them track progress over time. Ad hoc updates make it harder for the board to govern the program properly.
Defining what “approval” actually means
A subtle point that often gets overlooked: the strategy document should specify what board approval authorizes. Approval of the overall direction? Of a specific budget envelope? Of individual use cases beyond a threshold? Of executive succession plans? The clearer the strategy is about what’s being approved versus what remains for management to decide, the cleaner the governance going forward. Strategies that leave this ambiguous tend to require return trips to the board for routine decisions, which erodes both speed and trust.
The Questions Every Board Will Ask

- Who is accountable, and what happens if they leave? Continuity and succession.

- Are we over-dependent on any single vendor? Vendor concentration.
- What’s the cost of doing nothing? The implicit comparison the board will make.
- Are we hiring or partnering for the talent we need? Talent strategy.
- How does this interact with our existing IT and digital programs? Coherence with the broader technology investment.
The Presentation Itself: Pacing, Tone, and Framing

- Risk treatment that’s box-checking. Generic risks lifted from a template, without organization-specific specificity or response plans.
- Single-author voice. The strategy reads as if one function wrote it, with little fingerprint from others.
- Disconnect between strategy and roadmap. The strategy is bold; the implementation plan is timid. Or the reverse.
The strategies that win approval feel like they were written by people who have already operated AI programs and know where the friction is. They include specifics. They acknowledge trade-offs. They commit to what will and won’t happen. They name the risks the organization is actually worried about, not just the ones that are easy to name. They read, in the end, more like a serious capital request than a vision statement — which is exactly what boards are equipped to approve.
Post-Approval: Sustaining Board Confidence
Approval is the start of the relationship with the board, not the end. Sustaining board confidence over the multi-year arc of an AI strategy is its own discipline — and one that determines whether the next request to the board (more funding, scope expansion, a strategic pivot) will be received with confidence or skepticism.
The sustaining practices that matter most:
- Hit the early milestones credibly. The first six to nine months after approval are where the board forms its view of whether management can execute. Programs that hit their first set of milestones with documented evidence build a reservoir of trust; programs that miss them spend the rest of the strategy explaining why.
- Report consistent KPIs. The KPIs proposed at approval time should be the KPIs reported quarterly, with consistent definitions. Changing the KPIs mid-stream — even with good rationale — looks like moving the goalposts.
- Surface bad news early. When use cases underperform, vendors disappoint, or risks materialize, the board should hear about it from management, in writing, before they hear about it elsewhere. Boards forgive missed targets; they don’t forgive being surprised.
- Recalibrate proactively. If reality diverges materially from projections, propose recalibration before the board asks for it. Self-aware course correction is a signal of management quality.
- Bring learning back to the board. AI is moving fast and the original strategy will need updating. Annual deep-dives that reflect what’s been learned — about the technology, the regulatory environment, the organization’s capacity — keep the board informed and engaged rather than out of date.
- Refresh the case before re-approvals. Whenever the strategy needs to be re-approved or extended, the financial case should be rebuilt with current data, not just rolled forward. Boards notice the difference.
